IN NO EVENT WILL VERDANTEXEC'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID VERDANTEXEC IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED EUROS (€100).

THE LIMITATIONS OF LIABILITY IN THIS SECTION WILL APPLY EVEN IF VERDANTEXEC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Lithuania, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Lithuania for the resolution of any disputes arising out of or relating to these Terms or your use of the website or services.

14. Dispute Resolution

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the Rules of the Vilnius Court of Commercial Arbitration, which Rules are deemed to be incorporated by reference into this clause. The number of arbitrators shall be one. The seat, or legal place, of arbitration shall be Vilnius, Lithuania. The language to be used in the arbitral proceedings shall be English.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary so that the remaining provisions of the Terms will continue in full force and effect.

16. Waiver

No waiver by VerdantExec of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of VerdantExec to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

17. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and VerdantExec regarding your use of the website and services and supersede all prior and contemporaneous written or oral agreements, communications, and other understandings relating to the subject matter of these Terms.
